OUR BUSINESS ETHICS RULES

All directors and employees has the obligation to comply with Burdöksan’s ‘’Code of Conduct’’ and Code of Conduct is defined in order to increase the corporate value of our company and to add financial value. Our company owners, managers and employees are expected to comply with the code of conduct. The objective of these rules are to be aware of the corporate impact of the behavior and attitudes of our employees and to ensure the creation of a transparent, honest and reliable communication environment in all decisions and business management processes related to our company.

  • Confidentiality

Confidential and private information; it includes Burdöksan’s information, which may cause disadvantage in terms of competition, trade secrets, financial and other information that has not been disclosed to the public yet, information on employee personal rights and confidentiality agreements concluded with third parties.

As Burdöksan employees; we take care to protect the privacy and private information of our customers, employees and other related persons and organizations.

We protect confidential information about our company’s activities and uses this information solely for the purposes of Burdöksan; we only share these informations with the relevant persons within the limits of its power. When leaving our company, we don’t take out confidential information, documents, projects, and regulations that we know due to our duties.

  • Conflict of Interest

As Burdöksan employees, we aim to avoid conflict of interest. Taking advantage of our current position; personally and through our family or relatives, we do not gain personal benefit from the persons and organizations in which we are engaged in business. We do not engage in any business activity based on an additional financial interest outside our company. We refrain from using Burdöksan’s name and power to create personal benefit.

In the event of a potential conflict of interest, we apply these methods when we believe that the interests of the parties concerned can be protected safely through legal and ethical methods.

In case of doubt, we consult to our Director or to the Human Resources Department or to the Ethics Committee.

  • Malpractice

It is unacceptable for employees to harm the company by using their powers in the best interests of their own and / or their relatives. Employees cannot obtain any personal gain directly or indirectly from all transactions and contracts in the Company’s purchasing and sales activities.

Employees can not violate morality, law and company discipline.

  • Use of Resources

The company’s interests are taken into consideration in the use of resources on behalf of the company. Company assets, facilities and staff cannot be used outside the company, regardless of the benefit of the company. The principle of ‘’Saving on Every Subject’’ is applied by all personnel.

During the business hours, company employees use the time well and do not spend time on their private things during business hours.

OUR RESPONSIBILITIES

In addition to our legal responsibilities; We take care to fulfill our following responsibilities to our customers, employees, suppliers and partners, competitors, society, humanity and Burdöksan.

A.Our Legal Responsibilities

We carry out all our domestic and foreing activities and transactions under the laws of  Turkish Republic and within the framework of international law, we provide accurate, complete and understandable information to legal regulatory agencies and organizations on time. While carrying out all of our activities, we take equal distance from any public institutions and organizations without any expectation of benefit.

B.Our Responsibilities to Our Customers

We work with an understanding that responds to our customers’ needs and demands as soon as possible.

C.Our Responsibilities to Our Employees

We undertake to fully utilize the personal rights of our employees and to create a safe and healthy working environment for them. We make the necessary efforts for the personal development of our employees.

D.Our Responsibilities to Our Partners

We give priority to Burdöksan’s continuity and aim for profitability. We act within the framework of accountability and manage our resources and assets with efficiency awareness. We pay attention to make investments that increase our competitiveness.

E.Our Responsibilities to Our Suppliers

We treat our suppliers with fairness and respect, and pay attention to fulfill our obligations on time.

F.Our Responsibilities to Our Competitors

We avoid unfair competition and support efforts to ensure a competitive structure.

G.Our Responsibilities to Society and Humanity

We act responsibly on social issues and try to take part in services that are of public interest. We are sensitive to traditions and cultures. Bribes or expensive gifts etc. We do not provide and accept products and services.

H.Our Responsibilities to the Name of ‘’Burdöksan ”

All of our stakeholders rely on us with our competence and honesty. We try to keep this reputation at the highest level. We aim to work with customers, business partners and staff who meet the criteria of accuracy and legitimacy. We do not work with those who damage society’s morality and harm the environment and community health.

RESPONSIBILITIES OF EMPLOYEES

The procedures and Instructions have detailed the ethical rules about how we should behave and how we should do our work. Compliance with these rules is the primary responsibility of all employees.

In this direction, all Burdöksan employees;

  • To act in accordance with laws and regulations
  • To know the rules, principles and values of Burdöksan Code of Conduct, to understand, to internalize and to act in accordance with them.
  • To learn general and work procedures and instructions for the company
  • Consultation with managers and human resources for potential violations of themselves or others
  • Report any possible violations of himself or others immediately; communicate these issues and their notifications to their managers, human resources and / or the Ethics Committee in writing or verbally.
  • Ethical investigations have the responsibility to cooperate with the Ethics Committee and keep confidential information.

RESPONSIBILITIES OF DIRECTORS

Burdöksan directors have additional responsibilities beyond the responsibilities defined for the employees under the ethical rules.

Accordingly, directors;

  • Establish and maintain a corporate culture and working environment that supports ethical rules.
  • To be an example of the implementation of ethical rules and to educate their employees about ethical rules.
  • Support the employees about the ethical rules to communicate their complaints and notifications.
  • Providing guidance on what to do when asked advice, taking all the notifications forwarded into consideration and communicating it to the Ethics Committee as soon as necessary.
  • They are responsible for ensuring that the business processes under its responsibility are structured in such a way as to minimize the risks associated with ethical issues and to implement the necessary methods and approaches to ensure compliance with ethical rules.

SOLUTION OF NONCOMPLIANCES FOR ETHICAL RULES

Those who violate the Code of Business Conduct or company procedures and instructions will be subject to a variety of disciplinary sanctions that may be required to leave work if necessary. Disciplinary sanctions shall also apply to persons who approve, guide or disclose improper behaviors and acts that violate the rules, and who do not properly make the necessary notification.
